ULTRANIC is an AI-powered executive operating system and productivity platform designed to help users manage workflows, communications, scheduling, automation, and integrations with third-party services.

The platform may include:

• AI-generated responses
• Email and calendar integrations
• Cloud synchronization
• Voice features
• Task automation
• Third-party API integrations
• Analytics and personalization features

ULTRANIC is provided as a software service and may evolve over time.

2 · Eligibility

You must be at least 18 years old to use ULTRANIC.

By using the platform, you represent that:

• You are legally capable of entering into a binding agreement
• You will comply with all applicable laws and regulations
• Any information you provide is accurate and current

3 · User Accounts

To access certain features, you may be required to create an account or authenticate through third-party providers such as Google, Microsoft, LinkedIn, Spotify, or other connected services.

You are responsible for:

• Maintaining the security of your account
• Protecting your login credentials
• All activity occurring under your account

You agree to notify us immediately of any unauthorized access or suspected security breach.

4 · Third-Party Services

ULTRANIC may integrate with third-party platforms, APIs, and cloud services. These services are governed by their own terms and privacy policies. We are not responsible for the availability, policies, or functionality of third-party services.

5 · AI-Generated Content Disclaimer

ULTRANIC uses artificial intelligence technologies to generate outputs, recommendations, summaries, automations, and responses.

You acknowledge and agree that:

• AI-generated outputs may contain inaccuracies or errors
• Outputs are provided for informational and productivity purposes only
• You are responsible for reviewing and validating any generated content before relying on it
• ULTRANIC does not provide legal, financial, medical, or professional advice

Use of AI-generated content is at your own discretion and risk.

6 · Acceptable Use

You agree not to:

• Use ULTRANIC for unlawful purposes
• Attempt unauthorized access to systems or accounts
• Reverse engineer or copy proprietary technology
• Use the platform to distribute malware, spam, or harmful content
• Interfere with platform stability or security
• Abuse API usage or automation systems
• Use the service to violate privacy or intellectual property rights

We reserve the right to suspend or terminate accounts violating these Terms.

7 · Beta Features

Some ULTRANIC features may be labeled as beta, experimental, preview, or early-access functionality. These features:

• May contain bugs or interruptions
• May change without notice
• May be discontinued at any time
• Are provided "as is" without warranties

8 · Payments & Subscriptions

Certain ULTRANIC features may require paid subscriptions or usage-based billing. By purchasing a subscription, you agree that:

• Fees may recur automatically unless canceled
• Pricing may change with reasonable notice
• Failure to pay may result in suspension of services
• Third-party payment processors may handle billing transactions

All payments are non-refundable unless required by law.

9 · Intellectual Property

All platform technology, branding, software, interfaces, workflows, AI orchestration systems, and related materials are owned by Breadcrumbzs Tech Inc. or its licensors. This includes:

• ULTRANIC branding and logos
• UI/UX designs
• Software architecture
• Proprietary workflows and AI orchestration systems
• Documentation and content

You may not reproduce, distribute, sell, or exploit any portion of the platform without written permission.

10 · Data & Privacy

Your use of ULTRANIC is also governed by our Privacy Policy. By using the platform, you acknowledge that:

• Certain operational data may be processed to provide services
• Cloud providers and subprocessors may be used
• Connected integrations may exchange authorized account data
• We strive to use commercially reasonable security measures

11 · SMS Program Terms

ULTRANIC operates an opt-in SMS messaging program for account holders who explicitly consent to receive text messages. By providing your mobile phone number and checking the SMS-consent box during account setup, you agree to receive recurring text messages from ULTRANIC and accept the terms in this section.

Message types

Messages may include meeting reminders, deal-pipeline alerts, executive briefings, workflow nudges, security and account notifications, and other transactional messages tied to your workflow activity. ULTRANIC does not send promotional or marketing SMS.

Message frequency

Frequency varies based on your workflow activity. Most users receive between 0 and 10 messages per day. There is no fixed minimum or maximum.

Help and opt-out

• Reply HELP to any ULTRANIC text for support contact information.
• Reply STOP to any ULTRANIC text to unsubscribe from all SMS messages.
• You can also manage SMS preferences in your account settings or by emailing support@ultranic.ai.

Carrier and pricing

Standard message and data rates may apply. Message and data rates are determined by your wireless carrier and are not the responsibility of ULTRANIC. ULTRANIC supports all major U.S. carriers, but carriers are not liable for delayed or undelivered messages, and neither is ULTRANIC.

Data sharing

ULTRANIC does not sell, rent, or share your mobile phone number or SMS opt-in consent with third parties or affiliates for marketing or promotional purposes. We share your mobile number only with the messaging service providers (such as Twilio) we use solely to deliver the messages you have requested. 12 · Service Availability

We do not guarantee uninterrupted availability of ULTRANIC. We may:

• Modify or discontinue features
• Perform maintenance
• Restrict access temporarily
• Update systems without notice

We are not liable for downtime, outages, or data interruptions.

13 · Limitation of Liability

To the maximum extent permitted by law:

Breadcrumbzs Tech Inc. shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising from:

• Use of the platform
• AI-generated outputs
• Third-party integrations
• Data loss
• Service interruptions
• Automation actions
• Unauthorized access

Your use of ULTRANIC is at your own risk.

14 · Indemnification

You agree to defend, indemnify, and hold harmless Breadcrumbzs Tech Inc., its officers, employees, contractors, and affiliates from claims, liabilities, damages, and expenses arising from:

• Your use of ULTRANIC
• Violation of these Terms
• Misuse of integrations or connected services
• Violation of third-party rights

15 · Termination

We reserve the right to suspend or terminate access to ULTRANIC at any time for violations of these Terms or misuse of the platform. You may stop using the service at any time.

16 · Governing Law

These Terms shall be governed by the laws of the State of California, without regard to conflict-of-law principles. Any disputes shall be resolved in the appropriate courts located in California.

17 · Changes to These Terms

We may update these Terms periodically. Continued use of ULTRANIC after updates constitutes acceptance of the revised Terms.
